TimeCharge Term of Use

These Terms of Use (the “Terms”) set forth the terms and conditions governing the use of the application “TimeCharge” provided by Lawyer Atsushi Hiraoka (the “Operator”), together with any related websites, content, support, features, and paid functionality (collectively, the “Service”).
By using the Service, the user agrees to these Terms.

Article 1 (Scope)

  1. These Terms apply to all relationships between the user and the Operator in connection with the use of the Service.
  2. Any privacy policy, billing terms, help materials, guidelines, supplemental terms, or other rules posted on the Service or on the Operator’s website shall form part of these Terms.
  3. If these Terms conflict with any supplemental terms, the supplemental terms shall prevail to the extent of such conflict. Unless otherwise stated in the supplemental terms, the remaining provisions of these Terms shall continue to apply.

Article 2 (Definitions)

For purposes of these Terms, the following terms shall have the meanings set forth below:

  1. User: any individual, corporation, or other organization that downloads, installs, views, or uses the Service
  2. Account: any Apple Account, Google account, or other third-party account used in connection with the Service
  3. User Content: any and all information entered, stored, synchronized, transmitted, or managed by the user through the Service, including but not limited to client names, matter names, work descriptions, time records, comments, settings, and other data
  4. Google and Similar Service Integration Features: features involving sign-in to Google or similar services, connections to Google Drive / Google Sheets or similar services, destination creation, destination switching, synchronization, reload, conflict resolution, and any other features using Google or similar APIs or services
  5. Paid Plan: any subscription or other paid functionality provided by the Operator through the Service or through the App Store
  6. Third-Party Services: any services, SDKs, APIs, platforms, stores, clouds, authentication infrastructure, or external services provided by Apple, Google, or other third parties

Article 3 (Eligibility)

  1. The user shall use the Service at the user’s own responsibility and must have the legal capacity or necessary authority to agree to these Terms.
  2. If a minor or other person with limited legal capacity uses the Service, such user must obtain the consent of a legal guardian or any other person whose consent is required.
  3. If the user uses the Service on behalf of a corporation, firm, organization, or other entity, the user represents and warrants that the user has authority to bind such entity to these Terms.

Article 4 (Service Description)

  1. The Service provides functions for recording, viewing, editing, and deleting work time, using history suggestions, setting display languages, integration features with Google and similar services, creating / switching / reloading destination spreadsheets, and other related functions.
  2. The Service may store, read, update, delete, or otherwise synchronize User Content with spreadsheets on Google or similar services that are designated by the user or created by the Service for the user.
  3. The Service may assist the user in selecting, listing, creating, or switching folders or spreadsheets on Google Drive or similar services for use as a destination.
  4. The Operator may change, add, suspend, or terminate the content, specifications, UI, supported languages, delivery methods, supported operating systems, usage conditions, or any other aspect of the Service at any time.

Article 5 (Accounts and Authentication)

  1. Certain functions of the Service may require authentication through an Apple Account or a Google account or similar account.
  2. The user shall manage the user’s own account information at the user’s own responsibility and take appropriate measures to prevent unauthorized use by third parties.
  3. The Operator shall not be liable for any damage suffered by the user or any third party arising out of unauthorized use, loss, leakage, impersonation, or other account management issues, except where such damage is caused by the Operator’s willful misconduct or gross negligence.
  4. If the user revokes permissions granted to Google or similar services or to Apple, or deletes or suspends an account, all or part of the Service may become unavailable.

Article 6 (User Content)

  1. Rights in and to User Content shall remain with the user or the rightful owner. Nothing in these Terms transfers ownership of User Content to the Operator.
  2. The user represents and warrants that the user has all necessary rights, authority, consent, legal basis, and internal or professional approvals required for any User Content entered, stored, or synchronized through the Service.
  3. If the user handles personal information, sensitive information, trade secrets, confidential information, professional secrets, or any other information protected by law or contract through the Service, the user shall be solely responsible for its lawful handling, security management, third-party disclosure, cross-border transfers, retention, deletion, and disclosure responses.
  4. The user shall not enter or synchronize third-party data into the Service in violation of law or contract, and the Operator has no obligation to pre-screen or guarantee the legality of such data.

Article 7 (Local Storage, Synchronization, and Backups)

  1. The Service may store User Content on the user’s device and, when necessary, synchronize it to a destination on the user’s own Google Drive / Google Sheets or similar services.
  2. The user understands and agrees that synchronization, reload, destination switching, conflict resolution, deletion, and other operations through the Service may update, overwrite, delete, or duplicate User Content or corresponding rows on spreadsheets on Google or similar services.
  3. The user is solely responsible for taking necessary backups, version control measures, destination checks, and preservation measures on the Google Drive / Google Sheets or similar service side.
  4. Even if the user unregisters a destination spreadsheet in the Service, the file itself on Google Drive or similar services will not be automatically deleted unless expressly stated otherwise by the Operator.
  5. The Operator does not guarantee that synchronization delays, reload failures, data inconsistencies, losses, or duplicates will not occur due to communication failures, third-party service failures, API limitations, loss of account permissions, conflicts, user error, device failures, operating system updates, or any other circumstances beyond the Operator’s reasonable control.

Article 8 (Paid Plans, Billing, and Subscriptions)

  1. Certain functions of the Service may be available only through enrollment in a Paid Plan.
  2. The name, price, duration, covered features, renewal conditions, availability of free trials, and other conditions of any Paid Plan shall be governed by the descriptions shown on the App Store, within the Service, or in any separate terms established by the Operator.
  3. If a Paid Plan is purchased through the App Store, billing, payment, renewal, cancellation, refunds, and related matters shall be governed by Apple’s billing and refund rules and the terms applicable to the user’s Apple Account.
  4. The user shall cancel, modify, or request a refund for a Paid Plan, in principle, through the App Store or by any method designated by Apple.
  5. Except where required by law or permitted by Apple, fees already paid are non-refundable.
  6. The Operator may change the contents or pricing of any Paid Plan on a going-forward basis. In such case, the Operator will provide prior notice by a reasonable method.

Article 9 (Prohibited Conduct)

The user shall not engage in any of the following in connection with the use of the Service:

  1. violating any law, public order or morals, these Terms, supplemental terms, or the terms applicable to any Third-Party Service
  2. engaging in or facilitating criminal conduct
  3. infringing any intellectual property rights, privacy rights, reputation, credit, trade secrets, or other rights or interests of the Operator, Apple, Google or similar services, or any third party
  4. impersonating another person or providing false information
  5. unauthorized access, reverse engineering, modification, analysis, vulnerability scanning, security circumvention, or imposing excessive load
  6. using malware, bots, scraping, crawling, or otherwise interfering with the operation of the Service or any Third-Party Service
  7. inputting, synchronizing, or sharing personal information, confidential information, trade secrets, or any legally restricted information without proper authority
  8. using the Service for discrimination, harassment, stalking, fraud, threats, unlawful surveillance, or any other improper purpose
  9. reselling, sublicensing, distributing, renting, commercially hosting, or providing the Service on behalf of others without the prior written consent of the Operator
  10. any other conduct that the Operator reasonably deems inappropriate

Article 10 (Third-Party Services)

  1. The Service may include access to or integration with Apple, Google or similar services, and other Third-Party Services.
  2. Use of any Third-Party Service is subject to the terms of use, privacy policies, billing rules, and other conditions imposed by the relevant third party. The user shall review and comply with those terms at the user’s own responsibility.
  3. The Operator does not guarantee the continuity, availability, interoperability, accuracy, security, legal compliance, or future availability of any Third-Party Service.
  4. The Operator shall not be liable, except in cases of willful misconduct or gross negligence by the Operator, for any unavailability of all or part of the Service resulting from suspension, specification changes, API limitations, changes to terms, account suspension, or any other cause attributable to a third party.

Article 11 (Intellectual Property)

  1. All intellectual property rights in and to the Service, the Operator’s website, the application itself, designs, logos, trademarks, software, text, images, UI, databases, and other elements relating to the Service belong to the Operator or to parties that have licensed such rights to the Operator.
  2. The Operator grants the user a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to use the Service for personal or internal business purposes in accordance with these Terms.
  3. Except as permitted by applicable law, the user may not reproduce, adapt, publicly transmit, distribute, transfer, resell, lend, decompile, or disassemble the Service or any part thereof.

Article 12 (Changes, Suspension, and Termination of the Service)

  1. The Operator may change, suspend, or terminate all or part of the Service for maintenance, inspection, incident response, security response, legal compliance, circumstances relating to Third-Party Services, business reasons, or any other reasonable cause.
  2. If a change or termination is expected to materially disadvantage users, the Operator will provide prior notice by a reasonable method to the extent practicable.
  3. The Operator shall not be liable for any damage suffered by users as a result of such change, suspension, or termination, except in cases of willful misconduct or gross negligence by the Operator.

Article 13 (Suspension of Use, Restrictions, and Termination)

  1. The Operator may, without prior notice, suspend or limit use of all or part of the Service, suspend data access, terminate the agreement, or take any other necessary measures if the Operator reasonably determines that the user falls under any of the following:
    (1) the user has violated these Terms
    (2) payment delay or payment failure has occurred
    (3) there is a risk of misuse, security breach, or account compromise
    (4) the user’s account has been suspended, permissions have been lost, or the terms of Apple, Google or similar services, or any other Third-Party Service, have been violated
    (5) there is a legal requirement, court order, administrative request, or other lawful demand
    (6) the Operator reasonably determines that it is difficult to continue providing the Service
  2. Even if the user suffers damage as a result of the measures described above, the Operator shall not be liable except in cases of willful misconduct or gross negligence by the Operator.
  3. The user may stop using the Service at any time, including by deleting the application, disconnecting integration with Google or similar services, or canceling a Paid Plan.

Article 14 (Disclaimer of Warranties)

  1. The Service is provided on an “as is” and “as available” basis.
  2. The Operator makes no warranties of any kind, whether express or implied, including but not limited to warranties that:
    (1) interruptions, delays, errors, bugs, data loss, or security breaches will not occur
    (2) recorded time, synchronization results, destinations, display results, reload results, conflict resolution results, or calculations will always be accurate, complete, or up to date
    (3) the Service will satisfy any particular purpose, business requirement, legal compliance requirement, internal policy, confidentiality obligation, or audit requirement of the user
    (4) the Service will remain continuously compatible with any Third-Party Service
  3. The Service is a tool intended to support time recording and its management and does not provide legal, accounting, tax, audit, labor, billing, or other professional advice, nor does it guarantee legal compliance. The user shall make any necessary confirmations and verifications and consult professionals at the user’s own responsibility.

Article 15 (Limitation of Liability)

  1. Except in cases of willful misconduct or gross negligence by the Operator, fraud, or where liability cannot be limited under applicable law, the Operator shall be liable for damages arising in connection with the Service only to the extent set forth in this Article.
  2. Even where the Operator is liable, the Operator shall be liable only for ordinary and direct damages and shall not be liable, to the extent permitted by law, for lost profits, indirect damages, special damages, consequential damages, data loss damages, reputational harm, replacement procurement costs, or similar damages.
  3. If the user is a business entity or is using the Service for business purposes, the aggregate liability of the Operator shall not exceed the total amount of fees actually paid to the Operator, whether directly or through Apple, for the Service during the twelve (12) months preceding the event giving rise to the claim.
  4. If the user is a “consumer” under the Japanese Consumer Contract Act and damage is caused by the Operator’s slight negligence, the Operator’s liability shall be limited to ordinary and direct damages, and the maximum amount shall be the greater of (i) the total amount paid by the user for the Service during the twelve (12) months preceding the event giving rise to the claim, or (ii) JPY 10,000.
  5. Nothing in this Article limits any rights that cannot be waived or restricted under mandatory applicable law.

Article 16 (Indemnification)

  1. If the user causes any damage, loss, cost, or claim to the Operator, Apple, Google, or any third party due to a violation of these Terms, violation of law, infringement of third-party rights, unauthorized data input or synchronization, breach of confidentiality obligations, violation of personal information protection laws, or any other cause attributable to the user, the user shall indemnify such parties to the extent permitted by law.
  2. The preceding paragraph shall not apply where the user is a consumer and there is no willful misconduct or negligence on the part of the user.

Article 17 (Notices)

  1. Notices from the Operator to users may be made through in-app display, posting on the Operator’s website, email, push notification, or any other method the Operator deems appropriate.
  2. Any notice under the preceding paragraph shall become effective when it is made reasonably available for review by the user.

Article 18 (Amendments)

  1. The Operator may amend these Terms where reasonably necessary due to changes in law, changes in the Service, operational needs, security measures, changes in Third-Party Services, or other similar reasons.
  2. If the Operator amends these Terms, the Operator will notify or publish the amended content and effective date within a reasonable period in advance.
  3. If the user continues to use the Service after the effective date, the user shall be deemed to have agreed to the amended Terms.

Article 19 (Assignment)

  1. The user may not assign, transfer, create security interests in, or otherwise dispose of the user’s status under these Terms or any rights or obligations under these Terms to any third party without the prior written consent of the Operator.
  2. The Operator may transfer its status under these Terms, its rights and obligations hereunder, and related user information to a successor in connection with a business transfer, company split, merger, or other business succession involving the Service.

Article 20 (Severability)

If any provision of these Terms is held invalid or unenforceable under law or by a court, the remaining provisions shall remain in full force and effect. Any invalid or unenforceable provision shall be interpreted, to the maximum extent possible, in a manner most closely reflecting the reasonable intent of the parties.

Article 21 (Governing Law and Jurisdiction)

  1. These Terms and any disputes relating to the Service shall be governed by the laws of Japan.
  2. Any and all disputes arising between the Operator and the user in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
  3. However, this shall not apply where exclusive jurisdiction is mandated by law or where different treatment is required under mandatory law applicable to the user.

Article 22 (Language)

The Japanese version of these Terms shall be the governing version. If a translated version is prepared for reference and any inconsistency arises between the Japanese version and the translated version, the Japanese version shall prevail.

Article 23 (Additional Terms for Apple Devices)

If the Service is used as an application obtained through Apple’s App Store, the following additional terms shall apply:

  1. The user and the Operator acknowledge and agree that Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms, and that, upon the user’s acceptance of these Terms, Apple shall have the right to enforce these Terms against the user as a third-party beneficiary.
  2. The license granted to the user is limited to use of the Service on Apple-branded devices owned or controlled by the user and in accordance with these Terms and the usage rules in the Apple Media Services terms.
  3. Maintenance and support for the Service are provided solely by the Operator, and Apple has no obligation whatsoever to furnish maintenance or support services with respect to the Service.
  4. If the Service fails to conform to any applicable warranty, the user may notify Apple, and Apple may refund the purchase price, if any, to the extent permitted under applicable law. Except as required by law, Apple shall have no other warranty obligation whatsoever with respect to the Service.
  5. The Operator, and not Apple, is responsible, to the extent required by applicable law, for addressing any claims relating to the Service or the user’s possession and use of the Service, including product liability claims, claims that the Service fails to conform to applicable legal or regulatory requirements, consumer protection claims, and intellectual property infringement claims.
  6. The user shall comply with all applicable third-party terms when using the Service.
  7. The user represents and warrants that the user is not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a “terrorist supporting” country, and is not listed on any U.S. Government list of prohibited or restricted parties, to the extent required by applicable law or Apple requirements.

TimeCharge利用規約

この利用規約(以下「本規約」といいます。)は、弁護士平岡敦(以下「運営者」といいます。)が提供するアプリケーション「TimeCharge」およびこれに関連するウェブサイト、コンテンツ、サポート、機能、ならびに有料機能(以下総称して「本サービス」といいます。)の利用条件を定めるものです。
ユーザーは、本規約に同意した上で本サービスを利用するものとします。

第1条(適用)

  1. 本規約は、ユーザーと運営者との間の本サービスの利用に関する一切の関係に適用されます。
  2. 運営者が本サービス上又は運営者のウェブサイト上で掲載するプライバシーポリシー、課金条件、ヘルプ、ガイドライン、個別条件その他のルールは、本規約の一部を構成します。
  3. 本規約と個別条件の定めが矛盾する場合、当該個別条件が優先します。ただし、当該個別条件に別段の定めがない限り、本規約のその他の規定は引き続き適用されます。

第2条(定義)

本規約において、次の各号の用語は、それぞれ次の意味を有します。

  1. ユーザー:本サービスをダウンロード、インストール、閲覧又は利用する個人又は法人その他の団体
  2. アカウント:本サービスの利用に関連して使用される Apple Account、Google アカウントその他の第三者アカウント
  3. ユーザーコンテンツ:ユーザーが本サービスに入力、保存、同期、送信又は管理する一切の情報(依頼者名、案件名、作業内容、時間記録、コメント、設定情報、その他のデータを含みますが、これらに限られません。)
  4. Google等連携機能:Google等へのサインイン、Google Drive / Google Sheets 等との接続、保存先作成、保存先切替、同期、再読込、競合解消その他 Google等の API 又はサービスを利用する機能
  5. 有料プラン:運営者が本サービス内又は App Store を通じて提供するサブスクリプション又はその他の有料機能
  6. 第三者サービス:Apple、Google その他第三者が提供するサービス、SDK、API、プラットフォーム、ストア、クラウド、認証基盤その他の外部サービス

第3条(利用資格)

  1. ユーザーは、自己の責任において本サービスを利用するものとし、本規約に同意する法的能力又は必要な権限を有していなければなりません。
  2. 未成年者その他制限行為能力者が本サービスを利用する場合、法定代理人その他必要な権利者の同意を得た上で利用するものとします。
  3. ユーザーが法人、事務所、団体その他の事業体を代表して本サービスを利用する場合、当該事業体を本規約に拘束する正当な権限を有することを表明し、保証するものとします。

第4条(本サービスの内容)

  1. 本サービスは、ユーザーによる作業時間の記録、閲覧、編集、削除、履歴候補の利用、表示言語設定、Google等との連携機能、保存先スプレッドシートの作成・切替・再読込、ならびにこれらに付随する機能を提供します。
  2. 本サービスは、ユーザーが指定した又は本サービスがユーザーのために作成した Google等のスプレッドシートに対し、ユーザーコンテンツの保存、読取、更新、削除その他の同期処理を行う場合があります。
  3. 本サービスは、保存先として使用する Google Drive等上のフォルダ又はスプレッドシートの選択、一覧表示、作成又は切替を支援する場合があります。
  4. 運営者は、本サービスの内容、仕様、UI、対応言語、提供方法、対応OS、利用条件その他の事項を、いつでも変更、追加、中断又は終了することができます。

第5条(アカウントおよび認証)

  1. 本サービスの一部機能の利用には、Apple Account 又は Googleアカウント等による認証が必要となる場合があります。
  2. ユーザーは、自己のアカウント情報を自己の責任で管理し、第三者に不正利用されないよう必要な措置を講じるものとします。
  3. 運営者は、ユーザーのアカウントの不正使用、紛失、漏えい、なりすましその他アカウント管理上の問題に起因してユーザー又は第三者に生じた損害について、運営者に故意又は重過失がある場合を除き、責任を負いません。
  4. ユーザーが Google等又は Apple に対する権限付与を撤回し、又はアカウントを削除・停止した場合、本サービスの全部又は一部が利用できなくなることがあります。

第6条(ユーザーコンテンツ)

  1. ユーザーコンテンツの権利は、ユーザー又は正当な権利者に留保されます。本規約は、ユーザーコンテンツの所有権を運営者に移転させるものではありません。
  2. ユーザーは、自己が入力、保存又は同期するユーザーコンテンツについて、必要な権利、権限、同意、法的根拠及び社内又は職業上の承認を有していることを表明し、保証します。
  3. ユーザーは、個人情報、機微情報、営業秘密、守秘義務の対象情報、職務上秘密その他法令又は契約上保護される情報を本サービスで取り扱う場合、自らの責任で適法性、安全管理、第三者提供、越境移転、保管、削除及び開示対応を行うものとします。
  4. ユーザーは、法令又は契約に違反して第三者データを本サービスに入力又は同期してはならず、運営者は、当該適法性を事前に審査又は保証する義務を負いません。

第7条(ローカル保存、同期、バックアップ)

  1. 本サービスは、ユーザーコンテンツをユーザーの端末内に保存し、必要に応じて、ユーザー自身の Google Drive / Google Sheets等上の保存先へ同期する場合があります。
  2. ユーザーは、本サービスによる同期、再読込、保存先切替、競合解消、削除その他の操作により、ユーザーコンテンツ又は Google スプレッドシート等上の対応行が更新、上書き、削除又は複製される場合があることを理解し、これを承諾します。
  3. ユーザーは、自らの責任で、必要なバックアップ、バージョン管理、保存先の確認及び Google Drive / Google Sheets 等側の保全措置を講じるものとします。
  4. 本サービス上で保存先スプレッドシートの登録を解除した場合であっても、運営者が別途明示しない限り、当該 Google Drive等上のファイル自体が自動的に削除されるものではありません。
  5. 運営者は、通信障害、第三者サービスの障害、API制限、アカウント権限の喪失、競合、誤操作、端末障害、OS更新その他運営者の合理的支配を超える事情により、同期遅延、再読込不能、データ不一致、欠落又は重複が生じないことを保証しません。

第8条(有料プラン、課金、サブスクリプション)

  1. 本サービスの一部機能は、有料プランへの加入によって利用可能となる場合があります。
  2. 有料プランの名称、価格、期間、対象機能、更新条件、無料トライアルの有無その他の条件は、App Store 上の表示、本サービス内表示又は運営者が別途定める個別条件によります。
  3. 有料プランを App Store 経由で購入した場合、請求、決済、更新、解約、返金その他の取扱いは Apple の課金・返金ルールおよびユーザーの Apple Account に適用される条件に従います。
  4. ユーザーは、有料プランの解約、変更又は返金申請を、原則として App Store 又は Apple が指定する方法により行うものとします。
  5. 法令により義務付けられる場合、又は Apple が認める場合を除き、支払済み料金の返金は行いません。
  6. 運営者は、将来に向かって有料プランの内容又は価格を変更することができます。この場合、運営者は、合理的な方法で事前に通知します。

第9条(禁止事項)

ユーザーは、本サービスの利用にあたり、以下の行為をしてはなりません。

  1. 法令、公序良俗、本規約、個別条件又は第三者サービスの利用条件に違反する行為
  2. 犯罪行為又はこれを助長する行為
  3. 運営者、Apple、Google等又は第三者の知的財産権、プライバシー権、名誉、信用、営業秘密その他の権利利益を侵害する行為
  4. 他人になりすます行為、虚偽の情報を登録又は提供する行為
  5. 不正アクセス、リバースエンジニアリング、改変、解析、脆弱性探索、セキュリティ回避、過度な負荷を与える行為
  6. マルウェア、ボット、スクレイピング、クローリングその他本サービス又は第三者サービスの運営を妨害する行為
  7. ユーザーが処理権限を有しない個人情報、機密情報、営業秘密又は法令上取扱いに制限のある情報を入力、同期又は共有する行為
  8. 差別、嫌がらせ、ストーキング、詐欺、脅迫、違法な監視、その他不適切な目的のために本サービスを利用する行為
  9. 運営者の事前の書面承諾なく、本サービスを再販売、再許諾、配布、賃貸、商用ホスティング又は代理提供する行為
  10. その他、運営者が不適切と合理的に判断する行為

第10条(第三者サービス)

  1. 本サービスは、Apple、Google等その他第三者サービスへのアクセス又は連携を含む場合があります。
  2. 第三者サービスの利用には、当該第三者が定める利用規約、プライバシーポリシー、課金条件その他の条件が適用されます。ユーザーは、これらの条件を自ら確認し、遵守するものとします。
  3. 運営者は、第三者サービスの継続性、可用性、相互運用性、正確性、安全性、法令適合性又は将来の提供継続を保証しません。
  4. 第三者サービスの停止、仕様変更、API制限、利用規約変更、アカウント停止その他第三者に起因して本サービスの全部又は一部が利用できなくなった場合、運営者に故意又は重過失がある場合を除き、運営者は責任を負いません。

第11条(知的財産権)

  1. 本サービス、運営者のウェブサイト、アプリ本体、デザイン、ロゴ、商標、ソフトウェア、文章、画像、UI、データベースその他本サービスに関する知的財産権は、運営者又は運営者にライセンスを許諾した者に帰属します。
  2. 運営者は、ユーザーに対し、本規約に従い、本サービスを個人的又は内部業務目的で利用するための、取消可能、非独占的、譲渡不能、再許諾不能の限定的使用権を許諾します。
  3. ユーザーは、法令上認められる場合を除き、本サービス又はその一部を複製、翻案、公衆送信、頒布、譲渡、再販売、貸与、逆コンパイル又は逆アセンブルしてはなりません。

第12条(サービスの変更、中断、終了)

  1. 運営者は、保守、点検、障害対応、セキュリティ対応、法令対応、第三者サービスの事情、事業上の判断その他合理的な理由により、本サービスの全部又は一部を変更、中断又は終了することができます。
  2. 運営者は、ユーザーに重大な不利益が見込まれる変更又は終了を行う場合、可能な限り事前に合理的な方法で通知します。
  3. 運営者は、本条に基づく変更、中断又は終了によりユーザーに生じた損害について、運営者に故意又は重過失がある場合を除き、責任を負いません。

第13条(利用停止、アカウント制限、解除)

  1. 運営者は、ユーザーが次の各号のいずれかに該当すると合理的に判断した場合、事前通知なく、本サービスの全部又は一部の利用停止、機能制限、データアクセス停止、契約解除その他必要な措置を講じることができます。
    (1) 本規約に違反した場合
    (2) 料金の支払遅滞又は決済不能が生じた場合
    (3) 不正利用、セキュリティ侵害、アカウント乗っ取りのおそれがある場合
    (4) Apple、Google等その他第三者サービスにおけるアカウント停止、権限失効、規約違反が生じた場合
    (5) 法令、裁判所命令、行政上の要請その他の法的要請がある場合
    (6) 運営者が本サービスの提供継続が困難であると合理的に判断した場合
  2. 前項の措置によりユーザーに損害が生じた場合でも、運営者に故意又は重過失がある場合を除き、運営者は責任を負いません。
  3. ユーザーは、いつでも本サービスの利用を終了し、アプリの削除、Google等との連携の解除、有料プランの解約等を行うことができます。

第14条(保証の否認)

  1. 本サービスは、現状有姿かつ提供可能な範囲で提供されます。
  2. 運営者は、本サービスについて、以下の事項を含め、明示又は黙示を問わず、いかなる保証も行いません。
    (1) 中断、遅延、エラー、バグ、データ消失又はセキュリティ侵害が生じないこと
    (2) 作業時間、同期結果、保存先、表示結果、再読込結果、競合解消結果又は計算結果が常に正確、完全又は最新であること
    (3) ユーザーの特定目的、業務要件、法令遵守要件、社内規程、守秘義務又は監査要件に適合すること
    (4) 第三者サービスと継続的に互換性を有すること
  3. 本サービスは、時間記録及びその管理を支援するツールであり、法務、会計、税務、監査、労務、請求管理その他の専門助言又は法令適合性の保証を提供するものではありません。ユーザーは、自らの責任で必要な確認、検証及び専門家への相談を行うものとします。

第15条(責任の制限)

  1. 運営者は、運営者の故意又は重過失による場合、詐欺的行為がある場合、又は法令上制限が許されない場合を除き、本サービスに関連してユーザーに生じた損害について、本条の範囲でのみ責任を負います。
  2. 運営者が責任を負う場合であっても、運営者は、通常かつ直接の損害に限って責任を負い、逸失利益、間接損害、特別損害、結果損害、データ消失損害、信用毀損損害、代替調達費用その他これらに類する損害については、法令上許容される範囲で責任を負いません。
  3. ユーザーが事業者又は事業のために本サービスを利用する者である場合、運営者の累積損害賠償責任総額は、当該損害発生前12か月間にユーザーが運営者又は Apple を通じて運営者に実質的に支払った本サービス対価の総額を上限とします。
  4. ユーザーが消費者契約法上の消費者である場合で、運営者の軽過失により損害が生じたときは、運営者の責任は、通常かつ直接の損害に限られ、その上限は、当該損害発生前12か月間にユーザーが支払った本サービス対価の総額又は金10,000円のいずれか高い額とします。
  5. 本条は、ユーザーに適用される強行法規上の権利を制限するものではありません。

第16条(補償)

  1. ユーザーが、本規約違反、法令違反、第三者の権利侵害、権限のないデータ入力又は同期、守秘義務違反、個人情報保護法制違反その他ユーザーの責めに帰すべき事由により、運営者、Apple、Google 又は第三者に損害、損失、費用又は請求を生じさせた場合、ユーザーは、法令上許容される範囲でこれを補償するものとします。
  2. ユーザーが消費者であり、当該事由について故意又は過失がない場合、前項は適用しません。

第17条(通知)

  1. 運営者からユーザーへの通知は、本サービス内表示、運営者のウェブサイトへの掲載、電子メール、プッシュ通知その他運営者が適切と判断する方法により行います。
  2. 前項の通知は、運営者が合理的に閲覧可能な状態に置いた時点で効力を生じるものとします。

第18条(規約の変更)

  1. 運営者は、法令の改正、サービス内容の変更、運営上の必要性、セキュリティ対応、第三者サービスの変更その他合理的な必要性がある場合、本規約を変更することができます。
  2. 運営者は、本規約を変更する場合、変更後の内容および効力発生日を、合理的な期間をおいて通知又は公表します。
  3. 効力発生日後にユーザーが本サービスを利用した場合、ユーザーは変更後の本規約に同意したものとみなします。

第19条(権利義務の譲渡)

  1. ユーザーは、運営者の事前の書面による承諾なく、本規約上の地位又は本規約に基づく権利義務を、第三者に譲渡、承継、担保設定その他の処分をすることができません。
  2. 運営者は、本サービスに係る事業を譲渡し、会社分割し、合併し、又はその他の事業承継を行う場合、本規約上の地位及び権利義務並びにユーザー関連情報を、当該承継先に移転できるものとします。

第20条(分離可能性)

本規約の一部の条項が、法令又は裁判所の判断により無効又は執行不能とされた場合でも、当該部分を除くその他の条項は引き続き有効に存続します。また、無効又は執行不能とされた部分は、当事者の合理的意思に最も近い有効な内容に置き換えて解釈されるものとします。

第21条(準拠法および管轄)

  1. 本規約および本サービスに関する一切の紛争には、日本法を準拠法とします。
  2. 本規約又は本サービスに関連して運営者とユーザーとの間に生じる一切の紛争については、東京地方裁判所を第一審の専属的合意管轄裁判所とします。
  3. ただし、法令により専属的な管轄が定められる場合、又はユーザーに適用される強行法規により別段の取扱いが求められる場合は、この限りではありません。

第22条(言語)

本規約の正文は日本語版とします。参考のために翻訳版を作成した場合でも、日本語版と翻訳版に齟齬があるときは、日本語版が優先します。

第23条(Apple端末向け追加条項)

本サービスが Apple の App Store を通じて取得されたアプリケーションとして利用される場合、以下の各号が追加で適用されます。

  1. ユーザーに許諾されるライセンスは、ユーザーが所有又は管理する Apple ブランド端末上で、本規約および Apple Media Services の利用ルールに従って本サービスを利用するための限定的ライセンスです。
  2. 本サービスに関する保守・サポートは、運営者が提供主体であり、Apple は本サービスに関する保守又はサポート義務を負いません。
  3. 本サービスが適用される保証に適合しない場合、ユーザーは Apple に通知することができ、Apple は適用法令上認められる範囲で購入代金を返金する場合があります。Apple は、法令上求められる場合を除き、これ以外の保証責任を負いません。
  4. 本サービス又はユーザーによるその所持・利用に関して生じる製造物責任、法令適合性、消費者保護法制上の請求、知的財産権侵害請求その他の請求については、運営者が適用法令の範囲で対応主体となり、Apple は責任主体ではありません。
  5. ユーザーは、本サービスの利用にあたり適用される第三者サービスの条件を遵守するものとします。
  6. ユーザーは、(i) 米国政府の禁輸対象国又はテロ支援国として指定された国に所在していないこと、かつ (ii) 米国政府の禁止又は制限対象者リストに掲載されていないことを表明し、保証します(適用される法令又は Apple の要件に従う範囲に限ります。)。
  7. ユーザーおよび運営者は、Apple およびその子会社が本規約の第三受益者であり、ユーザーが本規約に同意した時点で、Apple は第三受益者として本規約をユーザーに対して援用できることを確認します。
